Terms and Conditions
• These Terms and Conditions include (a) the general terms of use applicable to your use of Minute technologies; and (b) specific provisions relating to VAT for trips undertaken in the Kingdom of Saudi Arabia (attached in Appendix 1).
• Please read these terms and conditions carefully. These Terms and Conditions contain information about your rights and obligations and other valuable information in connection with your use of Minute technologies.
General Terms of Use
1. Contractual relationship
These Terms and Use, including the General Terms of Use and the VAT Terms in Annex 1 (collectively, the "Terms") govern the access or use by individuals within the Kingdom of Saudi Arabia of the Special Applications of Minute, a private limited liability company incorporated in the Kingdom of Saudi Arabia and headquartered in Riyadh, and registered with Ministry of commerce under the number: 1010789453 Minute for taxi guidance.
Please read these Terms carefully before obtaining or using the Services.
By accessing and using the Services, you agree to be bound by these Terms, creating a contractual relationship between you and Minute. If you do not agree to these Terms, you may not obtain or use the Services. These Terms specifically supersede any prior agreements or arrangements entered into with you. Minute may terminate these Terms or any of the Services belonging to you immediately or in general to discontinue the offer of the Services or block access to them or any portion thereof at any time and for any reason whatsoever.
Some supplemental terms may apply to certain services, such as policies for a particular event, activity or promotion, and these supplemental terms will be disclosed to you in relation to the services provided. Supplementary Terms are added to the Terms for the purposes of the services provided and are considered part of them. Supplementary terms prevail over these terms in case of conflict with respect to the services provided.
Minute may amend the Terms relating to the Services from time to time. Modifications will take effect upon posting of these updated Terms or the publication of the revised policies or supplemental terms relating to the service provided. Your continued access to or use of the Services after such posting constitutes your agreement to be bound by the Terms as amended.
We collect and use personal data in connection with the Services as set out in Minute's Privacy Policy. Minute may provide necessary information (including your contact information) to claimants or insurance companies in the event of a complaint, dispute or controversy which may involve an accident between you and a third-party service provider (including a company driver in the transmission) where such information or data is necessary to resolve the complaint, dispute, or dispute.
2. Services
The Services constitute a technology platform that enables users of Minute's mobile applications available as part of the Services (each, the "Application") to manage and schedule transportation services. The Services are provided for your personal, non-commercial use only unless Minute agrees otherwise in a separate written agreement with you.
Licensing.
Subject to your compliance with these Terms, Minuet grants you a limited, non-exclusive, non-sublicensable, non-transferable license to another person and is revocable, to: (1) access and use the Applications on your personal device in connection solely with your use of the Services; and (2) access and use of any content, information and related materials that may be made available through the Services, in all such cases personal-only non-commercial use. Minute and its licensors reserve any rights not expressly granted in these Terms.
Restrictions.
You may not: (1) remove any copyright, trademark or other proprietary notices from any portion of the Services; (2) reproduce, modify, prepare, distribute, license, rent, sell, resell, transfer, publicly display, publicly perform, broadcast, circulate, publish or otherwise exploit the Services except as expressly permitted by Minute; or ( 3) tamper, reverse engineer or disassemble them except as permitted by applicable laws; or (4) create a link, make duplicates, or frame any part of the Services; or (5) create or cause the creation of any software or scripts for the purpose of disposing, indexing, erasing or otherwise exploiting any part of the Services, or improperly overburdening or impairing the work and/or function of any aspect of the Services; or (6) Attempting to gain unauthorized access to the Services or damage any of their aspects or any of the systems and networks related to them.
Servicing.
You acknowledge that the Service to Minute or the ordering options associated with the Transportation Services may be made available to (2) independent third-party service providers, including carrier drivers or holders of transportation charter permits, or holders of similar transport permits, authorizations, or licenses.
Third Party Services and Content.
The Services may be provided or made available in conjunction with third-party services and content (including advertising) that are not under the control of Minute. You acknowledge that different terms of use and privacy policies may apply to your use of third-party services and content. Minute does not endorse the services and content of third parties and in no way shall it be liable to any of the products or services of the third party service providers. In addition, Apple or Google Inc. shall consider their respective international subsidiaries and subsidiaries as external beneficiaries of this contract if you access the Services using applications specifically designed for Apple iOS or Android mobile devices, respectively. These external beneficiaries are not parties to this contract and are not responsible for providing or supporting the services in any way. Your access to the Services using these devices is subject to the terms set forth in the applicable Third Party Beneficiary Terms of Service.
Property.
The Services and all rights thereto remain the property of Minute. Neither these Terms nor your use of the Services grant you any rights: (1) in or in connection with the Services; or (2) to use or refer in any way to the company names, logos, product and service names, trademarks, or service marks of Minute.
3. Your Use of the Services
User accounts.
In order to use most aspects of the Services, you must register in order to obtain and maintain an active Personal Account for the User Services ("Account"). You must be at least 18 years of age or of legal age of majority in order to have an account. Account registration requires you to provide certain personal information to Minute such as your name, address, mobile phone number and age, as well as at least one valid payment method (either a credit card or an accepted payment partner). You agree to record and maintain accurate, complete, and up-to-date information in your account. Your failure to maintain accurate, complete, and up-to-date information on your account, including setting an invalid or expired payment method, may result in your inability to access or use the Services or Minute's termination of these Terms with you. You are responsible for all activities conducted in the name of your account and agree to keep your account username and password secure and confidential at all times. You may not own more than one account unless otherwise permitted in writing by Minute.
User requirements and behavior.
The Service is not available for use by persons under the age of eighteen. You may not delegate the use of your account to third parties, nor may you allow persons under the age of eighteen to obtain transportation services from third-party providers unless they are with you. You may not assign or transfer your account to any other person or entity. You agree to comply with all applicable laws when using the Services and may only use them for lawful purposes. In using the Services, you may not cause harm, inconvenience, harassment, or property damage, either to third party providers or to any third parties. In some cases, you may be required to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide identification.
Text messages.
By creating an account, you agree that the Services may send you certain informational text messages as part of the normal business course of your use of the Services. You have the right to refuse to receive text messages from Minute at any time by sending an email to support@minute.com.sa stating that you do not wish to receive further such messages and including the mobile number receiving such messages. You acknowledge that refusing to receive text messages may affect your use of the Services.
Promo codes.
Minute may, in its sole discretion, create promotional codes that may be redeemed and credited to the Account or other features or benefits related to the Services and/or those of third party service providers, subject to any additional terms that Minute sets on a per-code basis. You agree that promotional codes: (1) must be used for the intended public and purpose in a lawful manner; (2) may not be copied, sold, transferred in any way or made available to the public (whether published on a public form or otherwise), unless expressly permitted by Minute; (3) may be disabled by Minute at any time and for any reason without incurring any legal liability; and (4) may only be used in accordance with the special terms set by you. Minute for each promotional code; (5) not valid for cash payment; and (6) may terminate before you use it. Minute reserves the right to withdraw or deduct credits, other benefits or benefits obtained through the use of Promotional Codes by you or any other user in the event that Minute determines or believes that the use or redemption of Promotional Codes was wrong, fraudulent, or illegal or violated the applicable Promotional Code Terms or these Terms.
User Generated Content.
Minute may, in its sole discretion, allow you from time to time to submit, upload, post or otherwise provide textual and/or audio and/or visual content and information to Minute through the Services, including comments and feedback relating to the Services, creating support requests, and providing input for competitions and promotions ("User Content"). Any User-Generated Content provided by you remains your property. However, by submitting User Generated Content to Minute, you grant it a worldwide, perpetual, irrevocable, non-transferable, royalty-free license, along with the right to sublicense, use, copy, modify, create derivative works from, distribute, publicly display, publicly perform and otherwise exploit the User Content in all forms and distribution channels now known or hereafter created (including in connection with Minute's services and business as well as the Sites). and third-party services), without further notice or consent from you and without the need to pay you or any other person or entity.
You warrant and warrant that: (1) you are either the exclusive and sole owner of all User Content or you have all rights and all licenses, consents and exemptions necessary to license Minute to use User Content as set forth above; and (2) neither your submission, upload, posting or otherwise making available such User Content nor MyInt's use of User Content will infringe, misappropriate, or infringe any intellectual property rights or rights. Private, copyright or privacy of a third party and shall not prejudice any of the
Applicable laws or regulations.
You agree not to submit any User Content that is defamatory, defamatory, hateful, violent, obscene, pornographic, illegal, or offensive in any way.
4. Payment
You understand that use of the Services may result in you being charged for services or goods you obtain from a third-party service provider ("Fees"). After you receive the Services or goods obtained through your use of the Service, Minute will facilitate you to pay the applicable fees on behalf of the Third Party Service Provider as the Third Party Provider's limited payment collection agent. Payment of fees in this way is as effective as if payment were made directly by you to the third-party provider. The fees will include applicable taxes as provided by law. All fees paid by you are final and non-refundable, unless specified otherwise by Minute. You reserve the right to request a fee reduction from a third-party service provider for services and goods you received from them at the time you received such services and goods. Accordingly, Minute will respond to any request from any third-party service provider to amend fees for a particular service or commodity.
All fees are due with immediate effect and payment will be facilitated by Minute using your preferred payment method specified in your account after which Minute will send you a receipt by email. If the primary payment method you have assigned to your Account is expired, invalid, or unable to pay for, you agree that Minute, acting as the third party provider's limited payment collection agent, may use the secondary payment method in your account, if any.
As agreed between you and Minute, Minute reserves the right to create, cancel and/or revise fees for any or all of the Services or goods obtained through the use of the Services at any time in Minute 's sole discretion. Furthermore, you acknowledge and accept that fees applicable in certain geographies may be significantly increased during times of high demand. Minute will use reasonable efforts to notify you of fees that may apply to you provided that you are responsible for fees incurred in your Account regardless of your knowledge of them or the amounts of such Account. Minute may from time to time provide certain users with promotional offers and discounts that may result in varying amounts paid for the same services or goods or for similar services and goods while using the Services and you agree that such promotional offers and discounts shall not have, unless also available to you, in relation to your use of the Services or the fees charged to you. You may choose to cancel your order for services or goods provided by a Third Party Service Provider at any time prior to the arrival of the Third Party Service Provider as if it does arrive you may be required to pay the cancellation fee.
This payment structure is intended to fully compensate the external service provider for the services and goods provided. Except for taxi transportation services requested through the App, Minute does not allocate any share of your payment as a gift or tip to the Third Party Provider. Any statement made by Minute (on its website, in the App or Minute 's marketing materials) that gratuities are "voluntary", "unrequired" and/or "included" in payments you make for the services or goods provided is not intended to indicate that Minute is making any additional amounts to the External Service Provider other than the amounts described above. You understand and agree that while you are free to make additional tipping payments to any Third Party Service Provider that provides you with services and goods through the Service, you are under no obligation to do so. Tips are paid voluntarily. After you have acquired the Services and goods through the Service you will have the opportunity to evaluate your experience and provide additional feedback regarding the external service provider.
Repair or cleaning fees.
You will be responsible for the cost of repairing (or necessary cleaning) damages to the Third Party Provider's vehicles and property arising from the use of the Services in your Account in excess of damages caused by "normal wear and tear" and necessary cleaning ("repair or cleaning"). In the event that the Third Party Provider is informed of its need for repair or cleaning and the request for such repair or cleaning is approved by Minute at its reasonable discretion Minute reserves the right to facilitate the payment of a reasonable cost for such repair or cleaning on behalf of the Third Party Service Provider using the payment method specified in your account. These amounts are transferred by MYNT to the respective service provider and are non-refundable.
5. Disclaimer, Limitation of Liability, Indemnification.
Disclaimer.
Services are provided "as is" and "as available". Minute disclaims all express, implied, or statutory representations and undertakings not expressly set forth in these Terms, including implied representations of merchantability, fitness for a particular purpose and non-infringement. In addition, Minute makes no representations, representations, or warranties as to the reliability, timeliness, quality, suitability, or availability of the Services or any of them or the goods ordered during the use of such Services or as to the uninterrupted or error-free of the Services. Minute does not guarantee the quality, suitability, safety, or capability of external service providers. You agree that the entire risk arising from your use of the Services or any of the Services or goods required in connection with such use shall remain with you solely to the maximum extent permitted under applicable law.
Limitation of Liability.
Minute shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, loss of data, personal injury or property damage associated with or in any way caused by the use of the Services, even if Minute has been advised of the possibility of such damages. Minute shall not be liable for any damages, liabilities or losses arising from: (1) your use of or reliance on the Services or your inability to access or use the Services; or (2) any business transaction or relationship between you and any third-party service provider, even if Minute has been advised of the possibility of such damages. Minute shall not be liable for delays or disruptions of performance arising from causes beyond Minute's reasonable control. You acknowledge that third-party transportation providers that provide such requested services through certain types of orders may provide ridesharing or peer-to-peer transportation services, and that they may not be professionally licensed or authorized. In no event shall Minute College's liability to you in respect of the Services be exceeded for all damages, losses and causes of action.
You may use Minute Services to order and schedule transportation services by third party providers, but you agree that Minute has no responsibility or liability to you for any transportation services provided to you by third party providers except as expressly provided in these Terms.
The limitation of liability and disclaimers in Section 5 shall not be understood to limit liability or alter your rights as a customer which cannot be excluded under applicable law.
Compensation.
You agree to indemnify and hold harmless Minute, its officers, directors, employees and agents from and against all claims, demands, losses, liabilities and expenses (including attorneys' fees) arising out of or in connection with: (1) your use of the Services or services obtained through the use of the Services; (2) your breach or violation of any of these Terms; (3) your use of your User Content; or (4) your violation of the rights of any third parties, including third-party service providers.
6. the governing law; arbitration.
Except as provided in these Terms, these Terms shall be governed solely by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
7. Other provisions
Claims of copyright infringement. Claims of copyright infringement should be sent to Minute's email info@minute.com.sa or by calling our number directly or via WhatsApp 0581298888. notifications. Minute may send notices by sending a general notice regarding the Services, by sending an email to your mailing address on file with your account, or by sending a written letter to your address on file with your account. Appendix 1
Terms and conditions related to value added tax.
General Provisions
1. These Terms and Conditions (“VAT Terms”) apply from the date of issuance and shall remain in effect unless expressly terminated by Minute.
2. Your continued use of the Minute Application on or after the date of your receipt of these VAT Terms constitutes your acceptance of these VAT Terms.
3. The terms used shall have the meanings defined in the General Conditions of Use above unless they are expressly defined differently in these VAT Terms.
4. A reference to Minute in these VAT Terms is a reference to Minute. It is a private company with limited liability established in the Kingdom of Saudi Arabia and its head office is located in the city of Riyadh, registered with the Ministry of Commerce No. 1010789453, and it is a limited liability company, established in accordance with the regulations of the Kingdom of Saudi Arabia,
VAT applies to flight fees.
5. In application of the instructions received from the General Authority of Zakat and Income, the value-added tax is calculated on the total transportation fare at the prevailing rate, and in the event that there is any change to these instructions and this change is applied retroactively, Minute will seek to return the value-added tax from the amounts it may It is subsequently returned to Minute by the General Authority of Zakat and Income, in accordance with the provisions of the third clause below.
VAT Refund
6. Minute makes no guarantees that VAT amounts calculated on the entire freight will be refunded from GAZT or refunded to you.
7. Minute has the right to deduct administrative expenses and other costs (including fines and any assessment of unpaid VAT) incurred by Minute as a result of applying GAZT's instructions before returning VAT to you.
8. VAT refunded to the Account will be credited to the Account as a non-transferable and non-refundable cash credit, which is available for use in the Kingdom of Saudi Arabia only and expires one year after issuance (unless otherwise provided by Minute). You agree that you are not entitled to a VAT refund in cash.
9. If your account is closed once you are eligible for a VAT refund, Minute will email you a voucher (for the amount of VAT to be refunded) that you can use on the Minute App. The voucher is specific to you, and you can redeem it by opening a new account on the Minute app. of your own or reactivate your closed account. If your email address is not available in Minute 's records (for the reason why you did not share this address with Minute in the first place or for any other reason), Minute will not seek to contact you and any refund will be subject to the amount of VAT for your request submitted in accordance with paragraph 10 below. Minute shall not be liable for any Voucher sent to the email address registered in Minute's records if such Voucher is received and/or used by anyone other than you.
10. If your account is closed as soon as you are eligible for a VAT refund and Minute has not contacted you in accordance with paragraph 9 above, you may contact Minute for a VAT refund. Refunds will be made by issuing a voucher that you can use on the Minute App in accordance with the details specified in paragraph 9 above. Minute has the right to ask you to provide any documents (including receipts for trips that you receive by email from Minute or via the App) to document your claim.
11. You agree that you will not seek a VAT refund from Minute after 12 months from the date on which you became aware of your potential right to a VAT refund, and in any event no later than 5 years from the date on which such entitlement arose.
